VCPG
These Terms of Service (“Terms”) govern the provision of private security services by Veterans Covert Protection Group (“VCPG,” “Company,” “we,” or “us”) to the client (“Client”).
By engaging VCPG’s services, Client agrees to be bound by these Terms.

1 — Service Scope
VCPG provides professional private security services, including but not limited to:
Armed and unarmed security personnel Executive protection
Event security
Mobile patrol
Property protection
Risk assessment and security consulting
All services are governed by a separate written Service Agreement or Work Order that defines the scope, duration, staffing levels, rates, and operational parameters. VCPG reserves the right to decline or discontinue services at its sole discretion where conditions present undisclosed risks, unsafe environments, or legal conflicts.
2 — Independent Contractor Status
VCPG and its personnel are independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship between VCPG and the Client.
Security personnel are not law enforcement officers and possess only the authority granted under applicable law.
3 — Client Responsibilities
Client agrees to:
Provide accurate and complete information regarding the location, risks, and nature of services requested
Disclose known threats, hazards, or prior incidents
Maintain a safe working environment
Obtain any permits, approvals, or authorizations required for the event or property
Failure to disclose material information may limit VCPG’s ability to provide services and may relieve VCPG of related liability.
4 — Payment Structure
Fees are outlined in the applicable Service Agreement.
Deposits or retainers may be required prior to deployment
Invoices are due according to agreed payment terms
Overtime, holidays, emergency response, high-risk assignments, or scope changes may result in additional charges
Late payments may incur interest and/or suspension of services
All fees are non-refundable unless otherwise specified in writing.
5 — Scheduling and Cancellations
Scheduled services require written confirmation.
Cancellation terms:
Cancellations within 48 hours may be subject to cancellation fees
Same-day cancellations may result in full billing for scheduled personnel
Early termination of ongoing services requires written notice per the Service Agreement
6 — Use of Force
VCPG personnel operate strictly within the bounds of applicable federal, state, and local law.
The Company maintains internal policies governing use of force. Client acknowledges:
Security services reduce risk but do not eliminate it
VCPG does not guarantee prevention of criminal acts, injuries, or losses
7 — Confidentiality
VCPG will treat client information as confidential, including but not limited to:
Security procedures
Operational plans
Site vulnerabilities
Personal information
Confidential information will not be disclosed except as required by law or with written consent.
8 — Compliance With Law
VCPG operates in compliance with all applicable licensing and regulatory requirements.
Client agrees not to request or direct VCPG personnel to engage in unlawful conduct.
9 — Limitation of Liability
To the fullest extent permitted by law:
VCPG shall not be liable for indirect, incidental, special, or consequential damages
Liability for any claim arising out of services shall not exceed the total fees paid under the applicable Service Agreement
Client acknowledges that security services are preventative in nature and cannot guarantee absolute safety.
10 — Indemnification
Client agrees to indemnify and hold harmless VCPG, its officers, employees, and agents from claims arising out of:
Client’s negligence or misconduct
Undisclosed hazards
Client’s violation of law
11 — Insurance
VCPG maintains commercially reasonable liability insurance coverage as required by applicable law.
Proof of insurance may be provided upon request.
12 — Termination
Either party may terminate services in accordance with the Service Agreement.
VCPG may immediately terminate services if:
Conditions become unsafe
Client breaches these Terms
Required payments are not made
13 — Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
14 — Entire Agreement
These Terms, together with any executed Service Agreement, constitute the entire agreement between the parties.
